WEBSITE AND MOBILE APPLICATION TERMS OF USE
Please read these terms and conditions carefully before using OUR SITE OR APP– THEY CREATE A BINDING CONTRACT
If you are a subscriber to the FeedUs Platform, then additional terms, forming part of these Terms and Conditions, apply. You must read the section, "Subscription Terms", at the end of this document which sets out the additional terms which form part of your agreement with us. In the event of conflict between these Terms and Conditions and the Subscription Terms then the Subscription Terms will take precedence. The FeedUs Sites, defined below, include the FeedUs services covered in the Subscription Terms.
Thank you for using our website www.feedus.io, app.feedus.io, appstage.feedus.io, and our mobile app FeedUs (the "FeedUs Sites").
The FeedUs Sites are operated by FeedUs Portal LLC ("we", "our", "us", "FeedUs"), a company incorporated in Dubai, United Arab Emirates. These terms of use ("Terms of Use") set out the rules for accessing and using the FeedUs Sites.
By accessing, browsing or using theFeedUsSites, you confirm that you accept the Terms of Use and that you agree to comply with and to be bound by them and you agree that they form an agreement between you and us.
These Terms of Use affect your legal rights and obligations. If you do not agree to be bound by all of these Terms of Use, do not access or use the Site.

- Privacy Policy
- These Terms of Use may refer to our Privacy Policy accessed at www.feedus.io/en/privacy, which also applies to your use of the FeedUs Sites. The Privacy Policy is not a part of this contractual agreement between you and us but you should read it to find out more about how information which we may collect about you is used and stored.
- Keeping your account details safe
- If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.
- We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms of Use or your ongoing use poses a security threat to us or anyone else.
- If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at support@feedus.io
- Using the Site
- You agree to access and use the FeedUsSites only for lawful purposes. By accessing the FeedUsSites, you agree that you will not
- post or transmit discriminatory, libellous, harassing, defamatory, blasphemous, insulting, obscene or otherwise unlawful content.
- post or use any material that infringes upon or violates our intellectual property rights or the intellectual property rights of another.
- upload, post, email or otherwise transmit any material that you do not have a right to transmit under any law or under a contractual relationship or
- use theFeedUs Sites to commit a criminal offence or to encourage others to engage in any conduct which would constitute a criminal offence or give rise to civil liability.
- You are responsible for making sure your activities are lawful.
- You are responsible for maintaining any network connections necessary for you to access the FeedUs Sites.
- The FeedUs Sites are not intended for any person under the age of 18 or under the age of lawful capacity in their country of residence.
- You warrant to us that all information you provide to us for the purposes of creating and managing your account is accurate.
- Food and beverage sales
- The FeedUs Sites may enable you, as a consumer, to order food and beverage deliveries from restaurants. Any such order creates a contract of sale between you and the restaurant. FeedUs does not sell the food and beverages, is not a party to any such transaction, and has no control over the quality or safety of the products delivered. Accordingly, FeedUs does not accept any liability in connection with the quality or standard of any food or beverage product.
- Restaurant menus may state ingredients or indicate relevant allergens or food preparation standards on the FeedUs Sites. We have no control over this and we do not verify the accuracy or completeness of any information provided by a restaurant, nor do we assure the quality of any restaurant, including its food preparation practices. If you or anyone else who will be consuming any item from an order you place has any food allergies or specific preparation requirements (halal, kosher, gluten-free etc.) you are strongly advised to contact the restaurant directly to address your specific needs before you complete your order.
- You agree to access and use the FeedUsSites only for lawful purposes. By accessing the FeedUsSites, you agree that you will not
- Payments
- Any payments made to FeedUs on the FeedUs Sites shall be conducted in a secure manner. We use a third-party payment gateway which is PCI-DSS certified and armed with 3D secure authentication and a dual-layer fraud protection system.
- All food orders that are placed through the use of FeedUs Sites are the subject of transactions between the relevant customer or third party delivery provider platform and the restaurant in question. All payments due between restaurants and third party platform providers are subject to separate agreements between them. FeedUs is not responsible for any outstanding dues between the restaurant and third party food delivery providers or last mile delivery providers.
- Intellectual Property
- We are the owner or the licensee of all intellectual property rights in theFeedUs Sites, and in the material and content published on it (the "Materials"). Those works are protected by intellectual property laws and treaties around the world, including copyright rules. All such rights are reserved. All trade marks, service marks and logos (the "Trade Marks") displayed on the FeedUsSites are the exclusive property of FeedUs or its affiliates or licensees. You will not use the Trade Marks in any manner without our prior written consent.
- The Materials include any content which you or other users upload or post on the FeedUs Sites. All such content will be solely owned by FeedUs or its business partners (and you hereby assign any ownership rights in any such content to FeedUs and agree, at our request, to enter into any reasonable form of confirmatory assignment), and may be used by FeedUs in any manner lawfully permitted, without any duty to compensate you, including by reproducing it on relevant partner websites to which it relates.
- If you need to download limited extracts of any page on the FeedUs Sites for internal business purposes then you may do so provided that you do not modify any such materials or make them available publicly.Our status (and that of any identified contributors) as the authors of content on the FeedUs Sites must always be acknowledged.
- Other than as set out above and other than when viewing the FeedUs Sites on your electronic device you are not granted any licence to use or view the Materials and Trade Marks.
- You are not authorised to, and you must not:
- use any part of the content on the FeedUs Sites for commercial purposes, other than in the context of a subscription to one of our services, without obtaining a licence to do so from us or our licensors.
- use, copy, modify, display, delete, distribute, download, store, reproduce, transmit, publish, license, sell, re-sell, adapt, reverse engineer, decompile, disassemble, or create derivative or modified works of the Materials and Trade Marks.
- use the Materials and Trade Marks on other web sites or any media (e.g. social media) without our prior written consent.
- access the Feed Us Sites by using any scripts or automated service of any kind.
- run any sort of scraping tool or spider on the FeedUs Sites.
- attempt to access the FeedUs Sites by impersonating any other person.
- take any action which could attack or disable the FeedUs Sites or compromise the security of any other user.
- post or upload any content on the FeedUs Sites which is unlawful for any reason (such as pornography, abusive content, illicit content, content contrary to public morals, defamatory content etc.). We may, in our sole discretion, delete any content.
- If you violate any terms in this section 5 (Intellectual Property), your right to use the FeedUs Sites will cease immediately and you must, at our option, return or destroy any copies of the Materials and Trade Marks you have made. Certain violations of this section 5 may constitute criminal offences in the country where FeedUs is incorporated or where you are located and we will report crimes to the relevant law enforcement authorities.
- Do not rely on information on the FeedUsSites
- The content on the FeedUsSites is provided for general information only and does not constitute any form of advice.
- We aim to keep the Materials on the FeedUsSites timely and accurate. However, we cannot guarantee that the Materialsare correct. Some Materials may be provided by third parties. We are not responsible for the accuracy or content of third party Materials and will have no liability to you with respect to any such third party Materials.
- Although we make reasonable efforts to update the information on theFeedUs Sites, we make no representations, warranties or guarantees, whether express or implied, that the Materials on the FeedUsSitesare accurate, complete or up to date.
- Cookies
- The Feed Us Sites use cookies, including third party cookies. Please see the Privacy Policy www.feedus.io/en/privacy for more information.
- Other linked websites
- Where the FeedUsSites contain links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.
- We have no control over the contents of those sites or resources. When you select a link to an outside website, you are subject to the terms of use of the owner/sponsors of that website and you accept all risks of using such website.
- Disclaimer of warranties and suspension or withdrawal of the FeedUs Sites
- You expressly understand and agree that your use of the FeedUs Sites, or the Material made available through the FeedUs Sites, is at your own risk. The content and function of the FeedUs Sites are provided to you "as is" without warranties of any kind, either express or implied. FeedUs disclaims all warranties and representations (in each case, whether express or implied) including as to fitness for a particular purpose, merchantability and non-infringement to the maximum extent permitted by applicable laws.
- The FeedUs Sites are made available in accordance with any subscription term you have selected. We may, from time to time, offer free trial periods. We may cancel or suspend any free trial period at any time and for any reason, without notice.
- We do not guarantee that the FeedUsSites, or the Materials on it, will always be available or be uninterrupted and error-free. We may suspend or withdraw or restrict the availability of all or any part of theFeedUs Sites for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal by posting notice online.
- You are also responsible for ensuring that all persons who access the FeedUs Sites through your internet connection are aware of these Terms of Use and other applicable terms and conditions, and that they comply with them.
- Indemnity
- ou agree to defend, indemnify and hold harmless FeedUs and all of its affiliates, employees and agents from any and all liabilities and harm incurred in connection with any claim arising from any breach by you of these Terms of Use, including reasonable attorney's fees and costs.
- You agree to cooperate fully in the defence of any such claim. We reserve the right to assume, at our own expense, the exclusive defence and control of any matter otherwise subject to indemnification by you.
- You agree not to settle any matter without the prior written consent by us.
- Limit of liability
- All exclusions and limitations in this section apply whatever the basis for liability, including without limitation liability under contract and tort.
- In no event will FeedUs or its employees be liable for any incidental, indirect, special, punitive, exemplary, or consequential damages, arising out of your use of or inability to use the FeedUs Sites. We will not be liable for any loss of revenue or anticipated profits, loss of goodwill, reputational damage, loss of business, loss of data, loss of use, computer failure or malfunction.
- FeedUs does not accept any responsibility for errors, mistakes or inaccuracies in any content on the FeedUs Sites.
- The liability of FeedUs is limited to the lesser of: any amounts paid by you to FeedUs over the twelve months period immediately before the date of the event giving rise to liability and the amount of SAR 500 (five hundred United Arab Emirates Dirhams).
- We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud.
- Using your personal information
- The way we use your personal information isset out in our Privacy Policy www.feedus.io/en/privacy. We will follow our Privacy Policy in relation to personal information collected via the FeedUs Site.
- Communications over the internet and other public communications networks rely on infrastructure operated by various parties and we cannot guarantee the security or integrity of communications between you and us over such networks.
- Viruses
- We do not guarantee that the FeedUsSites will be secure or free from bugs, viruses, "Trojan Horses", or any other type of malicious code, file or programme, although we deploy reasonable security measures.
- You are responsible for configuring your information technology, computer programmes and platform to access the FeedUsSites. You should use your own virus protection software.
- You must not misuse the FeedUsSites by knowingly uploading any content that contains a software virus, a "Trojan Horse" or any other computer code, file or programme that may alter, damage or interrupt the functionality of the FeedUsSites or the hardware or software of any person who accesses the FeedUsSites and you must take reasonable precautions to ensure that any such uploaded content is screened for such things.
- You must not attempt to gain unauthorised access to the FeedUsSites, the server on which theFeedUs Sites are stored or any server, computer or database connected to our site. You must not attack the FeedUsSites via a denial-of-service attack or a distributed denial-of service attack.
- By breaching this section 13 (Viruses), you may commit a criminal offence under the UAE Cybercrime Law No 5 of 2012 and/or under other laws. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the FeedUsSites will cease immediately.
- Changes to these Terms of Use
- We may amend these terms from time to time. Every time you wish to use the FeedUsSites, please check these terms to ensure you understand the terms that apply at that time. [These terms were most recently updated on 29/08/2020]
- Changes to the FeedUsSites
- We may update and change the FeedUsSites from time to time for any reason and we do not provide any commitment that any service or functionality will not be discontinued. We will try to give you reasonable notice of any major changes.
- If a new or updated version of any of our applications is released, you agree to use such new or updated version.
- Termination of use
- We may, in our sole discretion, terminate or suspend your access to and use of the FeedUsSites without notice for any reason, including for violation of these Terms of Use or for other conduct which we, in our sole discretion, believe is unlawful or harmful to us or to others. In the event of termination, you will no longer be authorised to access the FeedUsSites, and we will use any means possible to enforce this termination.
- Additional terms
- In addition to the services subject to the Subscription Terms, some parts of the FeedUs Sites may be subject to additional terms and conditions which apply to their use.
- In such circumstances, such terms and conditions will be made clear before your access to those parts of the FeedUs Sites.
- These Terms and Conditions will continue to apply but the additional terms will take precedence if there is a conflict between them and these Terms and Conditions.
- Survival
- The following provisions shall survive termination or expiry of this agreement:
- Sections 5, 9, 10, 11, 18 and 19 of these Terms and Conditions.
- Sections 3.2, 5, 6 and 7 of the Subscription Terms.
- Any provision of the Service-Specific Terms set out in the Subscription Terms that by implication is intended to survive termination, including provisions relating to liability and indemnification.
- The following provisions shall survive termination or expiry of this agreement:
- Governing law
- These Terms of Use shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre in Dubai, United Arab Emirates. You and we agree that we shall submit to the exclusive jurisdiction of the courts of the Dubai International Financial Centre in relation to any dispute or claim arising out of or in connection with the Terms of Use or its subject matter or formation (including non-contractual disputes or claims).
SUBSCRIPTION TERMS
- Subscriptions
- These terms form part of this Agreement if you subscribe to one of the FeedUs services described in the Service-Specific Terms below, effective from the time you create your subscription.
- You can subscribe to one or more of these services if you are an authorised representative of a restaurant business which operates and is incorporated in the United Arab Emirates or the Kingdom of Saudi Arabia. The FeedUs services are not intended for customers operating in other territories.
- The ability to subscribe is provided through the FeedUs Sites. By creating a subscription you warrant to FeedUs that you are at least 18 years old and are legally entitled to act on behalf of the restaurant or restaurants indicated by you and to bind such businesses to a legally binding contract.
- Subscription term
- Your subscription will be for the period indicated on the FeedUs Sites and agreed when you create your subscription account. On expiry, your subscription will automatically renew for successive equivalent renewal periods, and FeedUs will continue to debit the Charges (defined in section 4 below) accordingly for such renewal periods. If you do not wish to renew your subscription you may provide FeedUs with no less than 7 days notice before the end of the current subscription period.
- Either party may terminate the subscription immediately on notice to the other if the other is insolvent within the meaning of the laws of the jurisdiction in which it (the insolvent party) operates.
- FeedUs may terminate the subscription immediately without liability, on notice to you, if you have materially breached the Terms of Use (including these Subscription Terms).
- FeedUs may terminate the subscription immediately without liability or prior notice if the provision of the services becomes or is adjudged to be unlawful in any relevant jurisdiction.
- On termination or expiry of these Subscription Terms your right to use the services will immediately cease. FeedUs has no obligation to retain any data or other content you may have uploaded or provided to FeedUs in the course of your use of the services.
- Services and users
- The FeedUs services are for the sole use of your restaurant business for your own internal business purposes. Throughout your subscription you may permit your officers and staff (Authorised Users) to access and use the FeedUs services. You are responsible for all activity carried out through your account, regardless of who carried out such activity.
- You may not:
- permit any person other than an Authorised User to access your subscription account(s) and you shall take reasonable steps to ensure that your account log-in credentials are kept secure, including requiring all Authorised Users to agree to keep such details secure.
- tamper with, harm or attack in any way (including any denial of service-type attack or any introduction of any malicious code) the FeedUs services.
- use the FeedUs services for any illegal activities or fail to comply with any applicable laws.
- impersonate any person or business or misrepresent your authority to represent any such person or business when creating your account.
- The FeedUs services require access to the internet and compatible hardware in order to function. You are responsible for maintaining your own internet connection and for providing the hardware you would like to access the service on (tablet, mobile phone, laptop, desktop computer etc.). FeedUs shall have no liability at all for any failure or delay in the services which occurs due to the failure or unreliability of your internet connection or hardware.
- We reserve the right to update and improve the services from time to time, including adding new functionality. We may also need to maintain our software and platforms to implement security patches and other technological developments. If we make a new version or update of any software which is provided as part of the services available then you must install and run such new or updated version. We will have no liability with respect to any error or harm which occurs due to your use of any version or release of our software which is not the current version. We may automatically push such updates or releases to you from time to time and you hereby accept such pushes.
- FeedUs may make resources available online which explain how to use our services. It is your responsibility to ensure that all staff, as necessary, are trained how to use our services. FeedUs is not responsible for any user error.
- You shall nominate a member of staff to act as your representative for technical issues with the FeedUs services. All requests or issues that you wish to raise with FeedUs must be routed through your technical representative.
- We will make available contact details to enable you to contact our support staff during specified support hours.
- Charges
- You agree to pay to FeedUs the amount indicated on the FeedUs Sites when you subscribe to a FeedUs service (Charges ). The Charges will be payable periodically in advance throughout your subscription period, as indicated on the FeedUs Sites and are exclusive of all applicable taxes, duties, withholding or similar (Taxes). You agree to pay all such applicable Taxes in addition to the Charges.
- In order to create an account you will need to provide valid payment details and you hereby authorise FeedUs to debit the Charges and applicable Taxes, based on such payment details.
- If any payment of the Charges fails, FeedUs is entitled to suspend your access to the FeedUs Platform until payment has been received, without prejudice to any other right or remedy.
- FeedUs is entitled to adjust the Charges from time to time on no less than thirty days' notice, to take effect on renewal of your subscription. If you do not agree with the revised Charges then you can serve notice not to renew your subscription before the date of renewal.
- Charges are non-refundable unless FeedUs permanently ceases providing the services in question during your subscription period or you terminate the subscription in accordance with section 2.2 of these Subscription Terms, in which case a pro-rata refund may be provided.
- Disclaimer and limitation of liability
- Communications over the internet are not completely secure. FeedUs accepts no liability for any loss or corruption of information transmitted over the internet in connection with the use of the FeedUs services or stored on FeedUs' servers. You should put in place procedures to back-up any important information.
- FeedUs does not warrant that the FeedUs services will be uninterrupted or error free or suitable for any specific purpose, whether communicated to us or not. Our services are provided "as is". To the maximum extent permitted by law, FeedUs disclaims all warranties of any kind, including warranties as to merchantability, fitness for purpose, fitness for any specific requirement, and non-infringement.
- Any transaction you enter into with a third party via our services is done at your own risk and you agree that we shall have no liability with respect to any act or omission of any such third party.
- For the avoidance of doubt, the provisions of section 12 of the Terms and Conditions apply in all respects with respect to these Subscription Terms.
- Confidentiality
- Each party undertakes that it shall notat any time during this agreement (or after the termination or expiry of this agreement) disclose to any person any Confidential Information, except as permitted by section 6.3 below.
- Section 6.1 above, shall not apply to the extent that such information was:
- already in the public domain at the time of disclosure otherwise than through a breach of this agreement or any other duty of confidentiality relating to that information.
- lawfully obtained from a third party who owes no obligation of confidence in respect of the information.
- independently developed by the receiving party (the Recipient) without access to, or use or knowledge of the said information.
- in the Recipient's lawful possession prior to receipt from the disclosing party (Disclosing Party).
- The Recipient may disclose Confidential Information:
- to its representatives who need to know such information for the purposes of performance of the Recipient's obligations or the exercise of its rights under this agreementprovided that the Recipient takes all reasonable steps to ensure that its representatives comply with the confidentiality obligations contained in thissection 6 as though they were a party to this agreement. The Recipient shall be responsible forits representatives' compliance with the confidentiality obligations set out in this section 6.
- if, and to the extent that, such information is required to be disclosed by applicable laws, a court of competent jurisdiction or any governmental or regulatory authority (provided that it gives the Disclosing Party advance notice of the disclosure, where lawful and practical to do so, so that the Disclosing Party has sufficient opportunity, where possible, to prevent or control the manner of disclosure by appropriate legal means).
- On termination or expiry of this agreement each party shall return to the other party or destroy all Confidential Information belonging to the other party. Without prejudice to the foregoing, if any Confidential Information has not been returned or destroyed in accordance with this section 6.4, such information will continue to be deemed Confidential Information for the purposes of this agreement.
- Each party reserves all rights in its Confidential Information. No rights or obligations in respect of any Confidential Information other than those expressly stated in thisagreement are granted or to be implied from this agreement.
- Confidential Information means all information in any form which is disclosed by one party (Party A) or its representatives to the other party (Party B) or its representatives, which is designated in writing as confidential or would appear to a reasonable person to be confidential and which relates to Party A's business including its products, services, operations, processes, plans or intentions, developments, trade secrets, know-how, design rights, market opportunities, personnel and suppliers, and all information derived from any of the foregoing including this agreement.
- Intellectual Property
- When you enter into a subscription you grant FeedUs a perpetual, royalty-free, non-exclusive, worldwide, sub-licensable and transferable licence, to use and display, to the extent necessary, all and any trade marks, logos, designs, photographs, descriptions and other materials and intellectual property rights (Restaurant IP) that you make available or agree to make available to FeedUs in connection with the provision of the services by FeedUs. You irrevocably waive the right to assert any moral rights in any Restaurant IP against FeedUs and confirm that all authors of such works have waived such rights. FeedUs will not use Restaurant IP for any reason other than the provision of the services or in accordance with section 8 below. You warrant and represent that you have all necessary rights, permissions and consents to grant the licence to Restaurant IP described in this section.
- You agree that all and any intellectual property rights and other interests in any feedback, comments or other communications (Restaurant Comms) between you and FeedUs will vest in FeedUs and that FeedUs may use such information for its own purposes including the improvement of its services and for publicity purposes.
- You agree to indemnify FeedUs with respect to any claim brought against FeedUs by a third party as a result of FeedUs' use of the Restaurant IP or Restaurant Comms in accordance with this agreement and to provide reasonable assistance to FeedUs in relation to the defence of such claim, at your own cost.
- If the FeedUs services enable you to download content or reports then you are granted a perpetual licence to use such material solely for your own internal business purposes. You may not publicly reproduce, modify, alter, combine or remove any notices from any such materials.
- Publicity
- During the subscription term, FeedUs shall have the right to publicly refer to you as a customer in presentations to potential investors and customers and list the Restaurant IP on our website and marketing materials. We shall adhere to any trademark use or style guidelines communicated to us by you and we shall not use the Restaurant Marks for any other purpose.
THE FEEDUS SERVICES – SERVICE-SPECIFIC TERMS
The terms below apply, in addition, to the specific services indicated.
- FREE TRIALS
- We may make some services available on the basis of a free, limited-time, trial. If you subscribe to a free trial then all provisions of this agreement, including the Terms of Use, the Subscription Terms and the applicable service-specific terms will apply in full, provided that you will not be required to pay charges and your free trial will not renew. Unless you enter into a full subscription to the applicable service from the end of the free trial period, FeedUs will automatically terminate your access to the trial service and delete your account, which may include any data or other content you have provided, from the date that the free trial ends.
- FEEDUS PLATFORM
- The FeedUs Platform is an order management system created for restaurant operators, which allows a restaurant to manage third party delivery systems through a single user interface.
- The FeedUs Platform is a self-service platform. You must complete all forms and input all information requested of you in order to successfully on-board to the platform and enjoy optimum use of the service.
- If you create a subscription account for the FeedUs Platform and comply with this Agreement, FeedUs agrees to make the FeedUs Platform available to you for the term of your subscription, subject to below section Avaiability point 1.
Availability
- FeedUs will use reasonable endeavours to keep the FeedUs Platform available for access and use at all times and to schedule any maintenance activities for non-peak restaurant delivery hours in your jurisdiction. You acknowledge that the unavailability of the FeedUs Platform, for any reason, will not prevent you from using your third party delivery accounts via other means which are generally availably and accordingly that FeedUs shall have no liability to you with respect to any such unavailability or downtime relating to the FeedUs Platform, provided that if there is, in any month, persistent unavailability of the FeedUs Platform due to a failure attributable to FeedUs on more than ten days during peak restaurant delivery hours in your jurisdiction, you may terminate your subscription and receive a pro rata refund of Charges paid in advance.
Third party ordering platforms
- The FeedUs Platform is not an order generation or delivery platform. It is for use by restaurants to manage third party ordering and delivery platforms. You agree that FeedUs is not responsible in any way for any act or omission of any such third party platform. In order to use the FeedUs Platform you will need to have an account with at least one such third party provider. If you cease to maintain a third party provider food ordering account then the FeedUs Platform will not function for you with respect to that third party.
- You will need to provide FeedUs with details of your third party accounts and with the ability to use the data generated by those accounts in the operation of the FeedUs Platform and you hereby license such information to FeedUs for our use in the provision of the services to you. You hereby warrant and represent that you have all necessary rights and permissions to provide to FeedUs and enable the use by FeedUs of such information and you agree to indemnify and hold harmless FeedUs from any claim by any third party in connection with the provision or use of such information.
- The FeedUs Platform may receive and transmit information from your third party accounts and you hereby license such information to FeedUs for our use in the provision of the services to you. You hereby warrant and represent that you have all necessary rights and permissions to permit FeedUs to carry out such activities and you agree to indemnify and hold harmless FeedUs from any claim by any third party in connection with such activities.
- Any breach of sections point 2 or 3 above by you shall constitute a material breach of this agreement.
Order quantity, fulfilment and customer liaison
- The FeedUs Platform is a technology solution to allow you to run more efficient business processes. FeedUs plays no role and has no responsibility at all in relation to the generation of customer orders, the fulfilment of customer orders and your relationship with your customers and third parties. FeedUs is not party to any transaction between you and your customers or third party suppliers and does not act as an intermediary, agent or similar.
